Terms of service.

The rules of the road for using Diligent. Short. Plain. No legalese where we can avoid it.

The agreement

These terms are a contract between you and Diligent AI Solutions Private Limited. By creating an account or using Diligent, you agree to them. If you're using Diligent on behalf of a company, you confirm you have the authority to bind that company.

The service

Diligent is an AI co-pilot for performance marketing. It connects to your ad and analytics platforms, surfaces insights, and runs alerts and routines. We may add, change, or remove features. If a material change reduces what you're paying for, we'll tell you in advance.

Your account

You're responsible for what happens on your account. Keep your credentials safe and let us know if something looks wrong. We may suspend or close accounts that violate these terms or put the service at risk.

You must be at least 18 years old to use Diligent.

Acceptable use

Don't use Diligent to:

  • Break the law, or help someone else do so.
  • Reverse-engineer, scrape, or copy the product, except where the law explicitly allows it.
  • Resell access to Diligent without a written agreement with us.
  • Send us data you don't have the right to share, or data belonging to consumers you haven't collected lawfully.
  • Probe, attack, or overload our infrastructure.

Your data

You own your data. You give us a limited licence to process it so we can run the service for you. We won't use it for anything else without your permission. The details are in our privacy policy and GDPR page.

If we offer a data-processing addendum (DPA), it forms part of these terms when signed.

Pricing and payment

Pricing is shown on our pricing page or in the order form you sign. Subscriptions renew automatically until cancelled. Credits used in a billing period are non-refundable. Taxes are added where required.

If a payment fails and isn't resolved within 14 days, we may suspend the account.

Intellectual property

We own the Diligent product, brand, and documentation. You own your data and any outputs we generate for you from it. You can use those outputs for any lawful business purpose.

Third-party platforms

Diligent works alongside platforms we don't control (Meta, Google, Shopify, and others). We aren't responsible for what those platforms do, change, or break. If a platform changes its API in a way that affects Diligent, we'll adapt as quickly as we can.

AI output

Diligent uses large language models. Their output can be wrong. Treat AI suggestions as a starting point and use your judgement before acting on them — especially for anything that changes spend.

Warranties

We do our best to keep Diligent running well, but we provide it “as is”. We don't promise it will be uninterrupted, error-free, or fit for any specific purpose beyond what's described in writing. To the extent the law allows, we disclaim all implied warranties.

Liability

Neither party is liable for indirect, incidental, or consequential damages. Our total liability under these terms is capped at the amount you paid us in the 12 months before the event giving rise to the claim. Nothing in these terms limits liability where the law doesn't allow it.

Termination

You can cancel any time from your account settings. We can terminate for material breach with 30 days' notice, or immediately if your use puts the service or other customers at risk. After termination, you can export your data for 30 days, then we delete it.

Governing law

These terms are governed by the laws of India. Disputes are subject to the exclusive jurisdiction of the courts of Gurugram, Haryana, unless local consumer law in your country of residence gives you the right to bring them somewhere else.

Changes

If we change these terms in a way that's material to you, we'll give you at least 30 days' notice. Continued use after that means you accept the new terms.
